Essentials provides solid framework, practical tips and up-to-date information - the tools to get the job done!

An experienced faculty comprised of senior Society members and other experts who offer practical solutions and advice on how to handle the varied responsibilities of the corporate secretary, assistant secretary or other governance professional. Throughout plenary sessions the Essentials seminar will cover the basics including: fundamentals of corporate governance, internal sources of and limits on governance authority, board responsibilities and structure, board and committee meetings, corporate entity management, records management and cybersecurity, risk management, minutes and more.  Our breakouts are designed to enhance practical learning based on company type or specific area of responsibility. 

For public companies, the topics include: regulation and disclosure, shareholders, annual meetings and drafting the proxy. 

The private company series of breakouts will cover board oversight, governance and compliance, managing conflicts of interest and succession planning.  Other breakout options include ESG reporting and disclosure, staffing the secretary’s office, shareholder activism, equity compensation plans and more.  For the complete Essentials agenda click here.

 Continuing Legal Education Credits

Many states regularly grant continuing legal or other professional education credits to attendees. The Society will apply for CLE accreditation to the states requested on the registration forms.  Please be advised that CLE approval notices are not always received prior to the conference.

UPDATE: The room block at Disney's BoardWalk Inn is full. Overflow rooms are booking at Disney's Animal Kingdom Lodge, based on availability. Reserve here. The Society will advise if shuttle service to Essentials will be provided.

Registrants are responsible for making their own hotel reservations. The Society has reserved a block of rooms at Disney’s BoardWalk Inn in Orlando, Florida at the special group rate of $249 single or double.  To book at the discounted rate, please make your reservations early.  Our discounted room rate is available until Wednesday, January 3, 2018 or until the room block is sold out.  After that date, any unsold rooms in the block will return to the hotel for normal sale, and reservations will be accepted only as long as rooms are available, and possibly at a higher rate. For those who wish to extend their stay in Orlando, the hotel will honor this special rate three days before and three days after the seminar subject to availability. The nonmember registration rate includes one year of Society membership (for new members only).

The full fee is payable in advance by credit card or check and includes the seminar, continental breakfasts, luncheons, coffee breaks and receptions, as well as all materials to be used in the course.

Please Note:  All fees must be paid in advance and accompany the registration form. The fee, less a non-returnable processing charge of $75, is refundable with written cancellation if received at the Society’s National Office on or before January 17, 2018.
